TERMS AND CONDITIONS

Unless otherwise agreed in writing by the Seller, the Buyer agrees that it will be bound by the terms and conditions if the Buyer places an order with a Seller and it is accepted by the Seller.  The Seller is not bound by any terms and conditions contained in any other document issued by the Buyer.

Definitions

  1. D & D Clothing (ABN 94 262673662) is hereinafter referred to as the “Seller”.
  2. The company or person purchasing product or services is hereinafter referred to as the Buyer”.

General Conditions

  1. A minimum order of spend of $300 applies to all orders.
  2. All prices are quoted ex GST. If we provide you with a quotation, it is valid only for the period of time specified in the quotation or 30 days, whichever is the lesser, and only in respect of the matters set out in the quotation.
  3. All communications between you and us including all purchase orders must be in writing (which includes by email).
  4. No quote is binding on us unless we have prepared and accepted a written confirmation of order.
  5. If the product has been or is in the process of being manufactured or produced specifically for you, you will pay to us as liquidated damages the full price of the products and any costs incurred by us (including, without limitation, any GST).
  6. If a dispute arises concerning the terms and conditions, then the dispute must first be referred for mediation in accordance with the Australian Commercial Disputes Centre Mediation Guidelines.
  7. The proper law of all contracts between the Seller and the Buyer is the law of the State ofNew South Walesand the Commonwealth of Australia.  In the event the mediation fails, the parties agree that all claims and disputes relating to products or services sold, shall be determined in the Court of competent jurisdiction nearest to the city ofSydney.

Branding

  1. Branding Setup Prices (once only) - $70 per logo for embroidery. $90 per colour per size (position) for screen printing.
  2. Branding Prices - $5.00 per logo embroidery per position. $6.60 per text embroidery per position (no setup charge). Screen printing per position per colour $3.30 subject to logo approval by D & D Clothing.

Delivery Expectations

  1. Our standard delivery lead time for branded garments is 14-21 days. Un-branded garments are dispatched within 7 days.
  2. If you require orders delivered faster than these delivery lead-times please contact us. We will do our best to meet any possible delivery expectations.
  3. A Delivery Fee of $25 applies to deliveries anywhere inAustralia.
  4. Any date for delivery of our product indicated by us is an estimated date for delivery only.
  5. D & D Clothing have a no returns policy.  Returns will only be accepted due to manufacturer faults in garments.
  6. When you take delivery of our product, you must inspect it immediately. You must report to us in writing any damage or incorrect supply which must be received by us within 7 days of delivery otherwise we may refuse any claim you make.

Payments

  1. D & D Clothing require payment in advance of all orders. Commencement of your order will begin once payment has been received and cleared.
  2. We accept payment by cash, EFT, cheque or credit card.
  3. Payments made via Visa or MasterCard will incur a transaction fee of 2.5% (+GST). American Express attracts a 3.25% (+GST) transaction fee.

Limitation of Liability

  1. To the extent permitted by law these terms and conditions exclude all other conditions, warranties, liabilities or representations in relation to the goods and/or services.  Where legislation implies in these terms and conditions any commission or warranty that cannot be excluded or modified to the extent permitted by law the liability of the Seller for a breach of any such condition or warranty is limited at the Seller’s option to any one or more of the following:

(a)        In the case of goods:

(i)         Replacement of the goods or supply the equivalent goods;

(ii)        Payment of the cost of replacing the goods or of acquiring equivalent goods by credit to the Buyer’s account in cash or by cheque a the Seller’s discretion;

(iii)       Repayment of any part of the purchase price of the goods which has been paid by the Buyer by credit to the Buyer’s account, in cash or by cheque at the Seller’s discretion.

  1. Subject to clause 17, the Seller is not liable for any loss or damage or of any kind whatsoever and howsoever arising out of or in connection with the supply of goods and services, including (without limitation), any indirect or consequential loss (including without limitation loss of profit, loss of revenue, loss of contracts, loss of goodwill or increased cost of workings), arising out of or in connection with the supply of goods or services, even  if due to the negligence of the Seller or any of its employees or agents.

Other Terms

  1. The terms and conditions of supply contain the entire understanding of the parties as to the sale.  There is no other understanding agreement, warranty or representation whether express or implied in any way defining or extending or otherwise relating to these provisions or binding on the parties with respect to the goods of the operation.
  2. If any provision of these terms and conditions is unenforceable, legal or void, that provision is severed and the other provisions remain in force.
  3. The Seller may amend or vary these terms and conditions by notifying the Buyer in writing of the amendment or oral variation.

Force Majeure

  1. The Seller shall incur no liability whatsoever for any loss, injury or damage (consequential or otherwise) arising directly or indirectly from accident, fire, industrial dispute, civil disturbance or any other occurrence beyond the reasonable control of the Seller that interferes with the supply of product and/or provision of services, or interferes in any other way with the Seller’s ability to perform its obligations under these terms and conditions.

Risk

  1. Risk in the goods passes to the Buyer on delivery (including all risk associated with loading and storage) upon title in the goods passing to the Buyer, whichever is earlier.
